Welcome to MS Digital Consultant! These terms and conditions outline the rules and regulations for the use of our services, custom software installations, and portal access.
1. Service Description
MS Digital Consultant delivers IT consulting, bespoke business software development, database synchronizations, and operational automations (such as AI chatbots, custom workflow connectors, and WhatsApp Business API gateways).
2. User Agreements & Account Setup
By accessing this website and utilizing our client portal, we assume you accept these terms and conditions. Do not continue to use MS Digital Consultant's services if you do not agree to take all of the terms and conditions stated on this page.
Clients must provide accurate and verifiable information during lead submission, registration, or billing procedures. Account access is personal and credentials should not be shared.
3. Payments, Billing & Subscription Fees
Services are billed on a project-milestone basis or as recurring monthly subscriptions (for AMC, maintenance, and cloud communications support).
- All invoices and official quotations are generated securely via our client portal with detailed HSN/SAC codes.
- Milestone payments are due within the timeframe specified in the quotation.
- Monthly maintenance subscriptions are billed in advance and are subject to suspension if unpaid for more than 15 days.
4. Intellectual Property Rights & Licensing
Unless otherwise agreed in a separate signed contract, MS Digital Consultant and/or its licensors own the intellectual property rights for all code, modules, and workflows designed prior to client handovers.
Upon final project settlement, ownership of the custom code specific to your operational workflow is transferred to you, subject to the licensing policies of third-party platforms integrated (e.g., OpenAI API, n8n, Make, WhatsApp Business API).
5. Limitations of Liability
While we strive to implement high-speed, secure, and accurate automation systems:
- We are not liable for business downtime, profit loss, or data discrepancies caused by unexpected failures of integrated third-party platforms (Google, WhatsApp/Meta, OpenAI, etc.).
- We are not responsible for pricing changes or API policy changes implemented by third-party gateway providers.
6. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Uttar Pradesh, India. Any disputes relating to these terms shall be subject to the exclusive jurisdiction of the courts in Uttar Pradesh, India.
