Terms of Service

1 Services Provided

MS Digital Consultant delivers enterprise IT consulting, software engineering, and AI automation solutions, including but not limited to:

• AI-Ready Website Setup & Cloud Hosting: Domain mapping, server configuration, SSL activation, and baseline web architecture.
• Autonomous AI Agents & Chatbots: Custom conversational AI agents using OpenAI GPT models, Claude, Google Gemini, and custom vector search systems.
• WhatsApp & Meta Business API Automations: Lead generation bots, WhatsApp webhook handlers, notification alerts, and CRM integrations.
• Enterprise Software & Portal Systems: Web application development, client management portals, invoice generation software, and database synchronization workflows.

2 User Accounts & Client Portal Rules

When you create an account on our Client Portal:

• You must provide accurate, current, and complete contact and business information.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You agree to notify us immediately of any unauthorized use or security breach.
• Accounts found engaging in abusive activity, spamming via automated messaging gateways, or violating Meta/WhatsApp API platform rules will be suspended without refund.

3 Payments, Invoicing & Fees

• Quotations & Invoices: All official project invoices and quotations are issued via our Portal with itemized SAC/HSN codes and applicable GST (18%).
• Payment Gateways: Payments are processed via PCI-DSS compliant online payment gateways (Razorpay, BHIM UPI, Netbanking, Cards).
• Hosting & Annual Maintenance: Domain registry, hosting server renewals, and annual maintenance charges must be settled prior to the expiry date to avoid service suspension.
• Refund Policy: Setup fees covering registered third-party domain costs and server provisioning costs are non-refundable once deployed. Custom development refunds are governed by our Cancellation & Refund Policy.

4 Intellectual Property & Licensing

Ownership of deliverables is structured as follows:

• Pre-existing Code & Core Frameworks: MS Digital Consultant retains all rights to its pre-existing libraries, proprietary workflow templates, utility modules, and brand assets.
• Client Custom Work & Handover: Upon full settlement of project invoices, the client receives full operational usage license and ownership rights to the custom code delivered specifically for their business.
• Third-Party Platform Licenses: Third-party APIs (OpenAI, Meta, Google, Razorpay) remain subject to their respective platform terms and licensing conditions.

5 Third-Party Platform Dependencies & Limitations

Our AI and automation solutions rely on infrastructure operated by third-party platforms (including Meta/Facebook, WhatsApp Business API, OpenAI, Google Cloud, and Razorpay). MS Digital Consultant is not liable for temporary service interruptions, API rate limits, pricing policy changes, or terms updates enforced independently by these third-party platforms.

6 Limitation of Liability

To the maximum extent permitted by applicable law, MS Digital Consultant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or operational delays arising out of or related to your use of our services. Our total aggregate liability for any claim shall not exceed the total fees paid by you to MSDC in the preceding 3 months for the specific service giving rise to the claim.
